Company Secretarial

Every limited company must have a company secretary whose function is to ensure that various tasks are undertaken to enable the smooth running of the company.

Hillgate Management can, if requested, arrange an appointment of a sole or joint company secretary in order to ensure that the statutory requirements are complied with thereby relieving the directors of their respective burdens:

Our duties as company secretary are as follows:

  • Holding of registered office at our address.
  • Preparation and submission of the Annual Return to Companies House.
  • Dealing with the company accountants to ensure filing of the company accounts at Companies House. It should be noted that there are now financial penalties for late filing of these documents and those referred to in paragraph 2.
  • Holding and maintenance of the statutory books to include:
    • Register of Members
    • Register of Directors and their Interests
    • Register of Secretaries
    • Register of Transfers
    • Register of Applications
  • We will in addition circularise the shareholders with Notice of the Annual General Meeting of the company pursuant to instructions from the Directors.

Accounting

The service charge accounting for properties is part of our management service. This includes budgeting, billing, accounts preparation, paying suppliers, credit control and preparation of the end of year accounts and is carried out by our in house accounts team headed by Hayley Putnam. All of our accounts are independently audited by RICS. We can add to this service, for example with the preparation of subsidiary accounts (perhaps for a parallel freehold owning company), PAYE services, operating deposit accounts etc.

We are audited by RICS regulations for holding client monies; and are currently associates of ARMA and look to abide by all their regulations to be accepted as a qualified member of ARMA Q in 2019.

Insurance

We are very experienced in providing the relevant insurance for your property and look to get the best rates for our clients. Our hands on experience has seen us cover most of the problems that can arise within residential flat blocks and we will always look to resolve issues swiftly, amicably and cost effectively.

We automatically deal with any claims made under our block policy, but can also take a role in this process where we do not arrange a block insurance.

These include filing the companies end of year accounts, appointing/removing Directors, conducting and passing resolutions and as required holding and minuting Annual General Meetings or Extra General Meetings. We can manage this on your behalf if desired for a single cost of £600/annum + VAT.
